Terms of Service

1. Parties

These Terms of Service ("Terms") constitute a binding agreement between Cocuy Labs SpA (RUT 78.352.448-1, Badajoz 100 Of. 1014 Piso 10, Las Condes, Santiago, Chile, hello@cocuylabs.xyz), the operator of the Waitless platform ("Company", "we", "us"), and you, the person or legal entity registering an account ("Customer", "you").

By creating an account or using Waitless you agree to these Terms in full. If you do not agree, do not use the service.

2. Service Description

Waitless is a software-as-a-service (SaaS) platform that allows restaurant operators to create and publish digital menus, generate per-table QR codes, and manage a real-time service queue accessible from any modern web browser. The service is provided on a subscription basis.

3. Account Registration

You must provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@cocuylabs.xyz if you suspect unauthorized access.

Accounts are for single business use. You may not share your account with third parties or create multiple accounts to circumvent plan limits.

4. Subscription Plans and Billing

4.1 Trial Period

New accounts receive a 30-day free trial with full access to the platform. No payment method is required to start a trial.

4.2 Paid Plans

After the trial period, continued access requires a paid subscription. Plans and current pricing are listed on the Waitless website. All prices are in United States Dollars (USD) and are charged on a recurring monthly or annual basis, as selected at checkout.

4.3 Payment Processing

Payments are processed by Paddle.com Market Limited, which acts as the Merchant of Record. By subscribing, you also agree to Paddle's terms and privacy policy. We do not store your payment card details.

4.4 Renewals and Cancellation

Subscriptions renew automatically at the end of each billing period. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current paid period; no partial refunds are issued for unused time, except as required by applicable law.

4.5 Grace Period

If a payment fails, your account enters a 14-day grace period during which you retain access while we retry the payment. If payment is not resolved within the grace period, access is suspended until the outstanding balance is settled.

4.6 Right of Withdrawal

In accordance with Chilean consumer protection law (Ley No. 19.496), you may withdraw from a paid subscription within 10 business days of the initial purchase by notifying us at hello@cocuylabs.xyz. Upon valid withdrawal we will issue a full refund of the first payment. This right does not apply to renewals of an existing subscription.

5. Acceptable Use

You agree not to use Waitless to:

  • Violate any applicable law or regulation.
  • Upload or distribute malware, spam, or any harmful content.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Resell or sublicense the service without our prior written consent.
  • Use the service to operate a business in a sector prohibited by Chilean law.
  • Reverse engineer, decompile, or attempt to extract the source code of the platform.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

6. Intellectual Property

Our IP: The Waitless platform, its source code, design, trademarks, and all associated materials are the exclusive property of Cocuy Labs SpA. These Terms grant you a limited, non-exclusive, non-transferable license to use the service for your own business operations.

Your content: You retain full ownership of all menu content, images, and data you upload to the platform. By uploading content you grant us a limited license to store, display, and deliver it solely for the purpose of operating the service on your behalf.

7. Service Availability

We target high availability but do not guarantee uninterrupted service. Planned maintenance will be announced in advance when possible. We are not liable for downtime caused by events outside our reasonable control, including third-party infrastructure failures (hosting, DNS, payment processors).

8. Data and Privacy

Processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

9. Limitation of Liability

To the maximum extent permitted by Chilean law, Cocuy Labs SpA's total liability for any claim arising from these Terms or your use of the service is limited to the amount you paid us in the three months preceding the event giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data, even if we have been advised of the possibility of such damages.

Nothing in these Terms limits liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded by law.

10. Modifications

We may update these Terms from time to time. Material changes will be communicated by email or via a prominent in-app notice at least 15 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the updated Terms. If you do not agree with a change, you may cancel your account before the effective date.

11. Termination

You may terminate your account at any time from your account settings. We may terminate or suspend your account immediately if you breach these Terms or if we are required to do so by law.

Upon termination, your right to use the service ceases immediately. We will retain your data for up to 90 days after termination to allow for reactivation, after which it may be permanently deleted.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Chile, including Ley No. 19.496 on the Protection of Consumers' Rights. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the ordinary courts of Santiago, Chile.
